Terms & Conditions

These Terms and Conditions govern the use of the Prismont website, as well as all purchases, services and interactions carried out online. By accessing this website or completing a transaction, you agree to be bound by the terms set out below.

By accessing this website or completing a transaction, you agree to be bound by the terms set out below. Please read them carefully.

By accessing the Prismont website, browsing its content, or using any feature, product or service offered on or through the site, you acknowledge that you have read, understood and agree to be bound by these Terms and Conditions. If you do not agree with these terms, you should not use the website.

Prismont reserves the right to modify these Terms and Conditions at any time, without prior notice. It is your responsibility to review them periodically. Continued use of the website following the publication of any changes constitutes your acceptance of those modifications. These Terms and Conditions constitute a legally binding agreement between you and Prismont.

Unless otherwise specified, the term “day” refers to a calendar day and not a business day.

Modifications

Prismont may at any time modify its Terms & Conditions. When we make changes to these Terms and Conditions, we will revise the “Last Updated” date at the bottom of this webpage. The modified Terms and Conditions will be in effect as soon as they are posted on the Site. Moreover, your continued use of the Site after notification of modifications to the present agreement constitutes your agreement to the modified stipulations.

If you disagree with the Terms & Conditions in whole, or with certain of its clauses, or if you should disagree with later possible modifications, you must immediately leave Prismont’s Site, and most importantly, do not transmit any personal information about yourself.

Access and Use of the Website

Right of Access

Access to the Prismont website is restricted to users who are at least 13 years of age.

By using the Site, you represent and warrant that you meet this age requirement. If you are a parent or legal guardian permitting a minor to use the Site, you agree to be responsible for such minor’s use of the Site and compliance with these Terms and Conditions.

Prismont reserves the right, at its sole discretion, to restrict, suspend or terminate access to the Site, in whole or in part, at any time and for any reason.

User accounts may also be restricted or terminated at Prismont’s sole discretion.

Use of the Website

By using the Prismont website, you agree to use it in accordance with applicable laws and these Terms and Conditions.

The Site may provide certain features, including but not limited to cart sharing or the transmission of information to third parties. You remain solely responsible for your use of these features, including the sharing of links, product selections or information with other users or organizations.

Prismont shall not be held responsible for any use made by third parties of information or content shared through these features.

You acknowledge that you are solely responsible for any data or usage charges incurred through your mobile service provider while accessing the Site. All such charges are billed by and payable to your mobile service provider.

You further understand that wireless services, including Wi-Fi or mobile network access, may not be available in all locations at all times and may be affected by product, software, coverage or other service changes made by your mobile service provider.

Orders and Purchases

The following terms govern all purchases, orders and transactions made through the Prismont website.

Online Purchases

Orders may be placed directly through the Prismont website or by submitting a request for quotation. You may be required to create an account in order to complete a purchase on the Website.

When placing an order or requesting a quote for a product or service, you may be required to provide certain information, including payment details, billing address and shipping information.

By submitting an order, you confirm that:

You have the legal right to use the payment method provided

The information you provide is accurate, complete and up to date

By submitting this information, you authorize Prismont to share it with third parties, including payment service providers, for the purpose of processing and completing the transaction.

Payments may be made using the methods accepted on the Site, including Visa and Mastercard credit cards, and in the available currencies (CAD, USD and EUR).

Any order placed constitutes an offer to purchase, subject to acceptance by Prismont.

Order Acceptance and Confirmation

Upon submission of an order, you will receive a confirmation email acknowledging receipt of your order. Such e-mail is a confirmation that your order has been received by Prismont but does not constitute an acceptance of your order.

Acceptance of the order by Prismont occurs only upon shipment of the products or confirmation of delivery.

Prismont reserves the right, at its sole discretion, to refuse, limit or cancel any order, in whole or in part, including but not limited to the following situations:

Product or service unavailability in a given region

Errors in pricing, product descriptions or specifications

Errors in the order

Inability to obtain payment authorization

Suspected fraud or unauthorized transaction

Unusual quantities or purchase limitations

Prismont may also require additional verification or information before accepting an order.

All purchases made using a credit card are subject to approval by the applicable payment service provider.

Order Modifications and Cancellation

No changes may be made to an order once it has been submitted.

Prismont reserves the right to cancel or refuse any order, even after submission, for any reason, including technical issues, errors or exceptional circumstances.

If an order is cancelled, in whole or in part, Prismont will notify you and, where applicable, issue a refund using the original method of payment.

Product Availability and Errors

Prices, product descriptions and availability displayed on the Prismont website are subject to change without notice.

Despite reasonable efforts to ensure accuracy, errors may occur. Prismont reserves the right to revoke any stated offer and to correct any error, inaccuracy, or omission, including after an order has been submitted.

In such cases, Prismont may:

  • Cancel the order
  • Propose a correction
  • Contact the customer to determine the appropriate course of action

Payment and Transaction Processing

Payments made through the Prismont website are processed by secure third-party payment providers.

All transactions are subject to approval by the applicable payment provider.

Prismont shall not be held responsible for:

  • Payment authorization refusals
  • Processing delays
  • Issues related to third-party payment systems

Prismont reserves the right to suspend or cancel any order in the event of payment issues or suspected fraud.

Certain transactions may be subject to additional security verification prior to approval.

Quotes and Price Adjustments

Quotes do not constitute a binding offer until accepted by Prismont.

Quotes are based on economic conditions, exchange rates and regulations in effect at the time they are issued.

These adjustments will be communicated to the customer as soon as they are known and will be applied in accordance with the applicable commercial terms.

Applicable Conditions for Purchases

The sale of products and services described herein is governed exclusively by these Terms and Conditions.

No terms included in a purchase order, agreement or other document issued by the buyer shall apply to or bind Prismont unless expressly agreed to in writing by an authorized representative of Prismont.

No specification, document, drawing, print, information or photograph provided by the buyer relative to his order shall be binding on Prismont for any purpose unless expressly accepted in writing and signed by an authorized officer of Prismont.

No modification of these Terms & Conditions shall be of any force or effect unless signed by an authorized officer of Prismont.

Shipping and Returns

The following terms govern the delivery of products as well as the applicable return, exchange and refund policies.
Certain conditions may vary depending on the type of product, destination or delivery method.

Shipping – Processing and Delivery Times

Delivery times may vary depending on the customer’s location, the date of the order and the products ordered. Each product available for online purchase on the Prismont website displays estimated delivery times based on the sub-model or product size.

For reference:

  • In-stock products are generally shipped within 1 to 5 business days
  • Products not in stock or made to order may require a longer delivery time of approximately 4 to 6 weeks

Additional delays may occur during holiday periods or company closures.

During such periods, orders may not be processed, which can result in extended delivery times.

Delivery times are provided for informational purposes only and are not guaranteed. Prismont shall not be held liable for delays beyond its control.

Shipping – Carriers, Costs and Responsibilities

Orders are shipped through third-party carriers such as UPS. The rate charged for the shipping of your order is based on your location and the size and weight of your products. Before the final checkout page you will be shown the cost of shipping.

Prices specified are for standard packaging only. Additional charges may apply, including for special packaging, export protection or specific delivery requirements.

Prismont uses third-party shipping providers to deliver its products. As such, Prismont shall not be held responsible for any loss, damage (direct or indirect), or expenses incurred during transport, which remain the responsibility of the carrier.

Customs duties, import taxes, brokerage fees and any applicable regulatory charges are the responsibility of the customer and are not included in the shipping cost. Unloading is performed at the customer’s risk.

The customer is responsible for customs clearance and for complying with all applicable import requirements, including obtaining any required governmental authorizations such as import or foreign exchange permits. For more detailed information about these charges, please contact your local customs office.

Certain conditions may apply depending on the destination, including specific procedures for international shipments.

Returns – Conditions and Eligibility

Upon delivery, the customer must promptly inspect the contents of the shipment to ensure that it complies with the order and is in good condition.

Any claim regarding an error in the order must be submitted in writing and received by Prismont within 10 days of receipt of the goods by the Customer, along with supporting documentation.

Custom, special or built-to-order items may not qualify for return or credit. Where returns are accepted, such merchandise must be in original condition and unused. Any returns for a product that has been tailor-made, installed, damaged, modified, or returned incomplete will be refused. Some items may be returned for modification, which may result in additional charges.

All returned merchandise must be authorized in advance by Prismont. A Return Merchandise Authorization (RMA) number will be issued upon approval.

No returned merchandise will be accepted unless accompanied by an RMA number, with the RMA number clearly identified on the outside of the shipping container.

Returns – Fees and Procedures

A minimum re-stocking charge of 20% (minimum $25 CAD, €25 or $25 USD depending on the transaction currency used) applies to any material not found to be defective.

All costs associated with the return of the goods, including without limitation the costs of transport and shipment of goods, transport costs to the point of origin, costs associated with the alteration of buildings, etc. are the responsibility of the Buyer.

Restocking fees do not apply to exchanges or warranty claims. Shipping fees are non-refundable. Custom or made-to-order products require advance payment and cannot be returned.

Items may be returned for modification, which may result in additional charges. No returns for credit will be considered more than 30 days from date of shipment.

All refunds will be processed using the same method of payment as the original purchase.

During holidays and closing times, no return or return claim will be processed.

Products and Use

The products offered by Prismont are intended for industrial use and may require specific conditions for installation, operation and safety.
It is the responsibility of the user to ensure that their use complies with applicable standards and accepted industry practices.

Product Use and Responsibilities

Equipment and products sold by Prismont are not designed or manufactured by Prismont, unless otherwise specified. Accordingly, Prismont makes no representation or warranty as to the safety, fitness for a particular purpose or suitability of such products for any specific application.

It is the responsibility of the purchaser and user to:

  • ensure that the products are used in accordance with their intended purpose
  • implement all necessary safety devices and protective equipment to protect operators from injury
  • ensure that equipment complies with all applicable occupational health and safety standards

This includes, without limitation, applicable governmental regulations, CSA standards or any equivalent authority depending on the jurisdiction.

Machine Safety and Compliance

Industrial safety requirements may vary depending on the country, region and application.

A machine may comply with the standards of the country of manufacture without necessarily complying with the local standards applicable to its use.

It is strongly recommended to conduct a safety assessment performed by a qualified professional in order to determine the appropriate safeguards for each specific installation.

Prismont does not perform any risk analysis as part of the sale of its products. This responsibility rests entirely with the purchaser, who must engage a qualified professional if required.

Products are provided without any guarantee of compliance with local regulations unless explicitly stated.

Warranty and Limitations of Use

Products may be covered by a limited warranty, the terms of which may vary depending on the manufacturer.

All products manufactured by Prismont are covered by a limited warranty against defects in materials and workmanship for a period of 120 days from the date of shipment.

In the case of any product manufactured by a manufacturer other than Prismont, Prismont will provide the customer with the manufacturer’s warranty.

The warranty does not cover, including but not limited to, situations resulting from:

  • abnormal or improper use
  • improper or non-compliant installation
  • lack of maintenance or improper maintenance
  • unauthorized modifications or repairs
  • unsuitable mechanical or environmental conditions

Normal wear and maintenance parts are not covered under warranty.

Performance and Usage Limitations

Prismont shall not be held liable, directly or indirectly, for any consequences arising from:

  • improper or non-compliant use of the products
  • incorrect or non-compliant installation
  • lack of training or supervision during use
  • incompatibility with other equipment or systems
  • modification or alteration of the products

The user assumes full responsibility for all risks associated with the use of the products, including property damage, operational losses or personal injury resulting from improper use.

Website Features and Functionality

The Prismont website provides various features designed to facilitate purchases, quote requests and the management of product-related information.
The use of these features is the responsibility of the user and may be subject to certain limitations or conditions.

Features and Use of the Website

The Prismont website allows, among other things:

  • the purchase of products online

  • the creation and management of a user account

Limitation of liability

The use of the Prismont website, products and services involves certain risks.
The following provisions define the limitations of liability applicable to the fullest extent permitted by law and must be read in conjunction with all other sections of these Terms and Conditions.

General Limitation of Liability

Prismont shall not be liable for any damages, whether direct, indirect, incidental, punitive, special or consequential, arising out of or in connection with this agreement, under any circumstances.

This includes, without limitation:

  • loss of life or personal injury
  • loss of profits or income (business or personal)
  • economic losses
  • damage to or loss of property
  • increased operating costs
  • loss of production
  • costs associated with removing, reinstalling or repairing allegedly defective or non-conforming goods
  • delay-related damages
  • or any other similar or dissimilar damages

arising from the inability to use the goods or equipment, whether by the customer or any third party.

Excluded Causes

Prismont disclaims any liability for failure of performance or malfunction of the goods supplied by Prismont pursuant to the agreement which in Prismont’s opinion is the direct or indirect result of any action or inaction by customer or any party other than Prismont.

This includes, without limitation:

  • modifications or repairs made by the customer or any third party
  • abuse, negligence or accidents improper or non-compliant installation
  • incorrect or inappropriate use or application
  • lack of maintenance or improper maintenance
  • incompatibility with other products or equipment not supplied by Prismont
  • the presence of non-recommended fluids or contaminants

Customer Responsibility

Customer assumes all other liability for any loss, damage or injury to persons or property arising out of, connected with or resulting from the use of the goods, either alone or in combination with other products

This includes, without limitation, any special damages or any loss, damage or injury caused to the customer (or to customer’s employees or property or to the employees or property of any customer of customer or other user of the goods), resulting from the acts or omissions of the customer, its agents, employees or clients during installation, maintenance, use or operation of such products.

Specific Exclusions

Prismont shall not be held responsible for the approval or rejection of equipment or installations by any regulatory authority, including but not limited to CNESST or any equivalent authority.

Notwithstanding any provision to the contrary, including any indemnification obligation, Prismont shall have no liability whatsoever for:

  • any personnel (including third-party contractors) placing any part of the body into machinery, operating machinery without appropriate protection, without proper training, or operating machinery that has not been properly maintained or that has been altered, rewired or bypassed
  • any mechanical defect, malfunction or failure of machinery or its components, or any issue resulting from a breach of the agreement by the customer

The parties acknowledge that the allocation of risks and benefits under this agreement is based on, and the fees paid under this agreement would be greater in the absence of, the limitations described above.

Financial Limitation of Liability

Notwithstanding any provision of these Terms to the contrary, Prismont’s total liability for any claim, demand or action arising out of or related to the manufacture, sale, delivery, resale, use or repair of goods or services shall in no event exceed the purchase price of the product, component or service giving rise to such claim.

The parties acknowledge that this limitation constitutes an essential condition of the agreement and reflects the allocation of risk between them.

Website Content and Accuracy

The information provided on Prismont’s web site is provided on an “As Is” basis and for general informational purposes only. Prismont does not guarantee whatsoever the accuracy, completeness, fitness for a particular purpose or noninfringement of proprietary rights regarding any information, materials or other documents, which are on, or referenced by, or linked to, the Prismont web site.

Prismont shall not be responsible for errors, omissions or typographical mistakes.

Prismont shall not be responsible or liable, directly or indirectly, for the accuracy, content, timeliness, completeness, legality, reliability, quality, suitability or decency of any information, advice, content, service, product or merchandise contained on the Prismont site or in sites linked to or from Prismont’s web site.

All specifications, drawings, photos, images and descriptions are approximate only. It is the Purchaser's responsibility to check whether they comply with his requirements. Manufacturers may modify product characteristics without notice.

Prismont makes no representations or warranties regarding the accuracy, completeness, reliability or suitability of any information, data, drawings, materials or documents on the website or provided by manufacturers, customers or third parties.

Website Availability and Technical Operation

Prismont periodically schedules system downtime for the Prismont Site for maintenance and other purposes. Unplanned system outages also may occur. Prismont does not guarantee that the website will be available at all times or free from errors, interruptions or failures.

Prismont shall not be held liable for any damages resulting from:

  • the inability to access or use the website
  • interruptions, suspension or termination of services
  • errors, omissions or delays in transmission
  • loss or deletion of files or communications
  • viruses, security breaches or unauthorized access
  • failures caused by events beyond Prismont’s control

User Remedies

Under no circumstances will Prismont or any of its officers, directors, shareholders, employees, affiliates, agents, licensors, or any other party involved in creating, producing, or distributing Prismont’s content be liable for any direct, indirect, incidental, special, or consequential damages (including but not limited to loss of profits, goodwill, use data or other intangible losses) that result or arise from:

  • the use of or reliance on the website
  • The inability to use the Prismont website
  • Merchandise, products, or services received through or advertised on Prismont’s website
  • Merchandise, products, or services received through or advertised on any links provided on Prismont’s website
  • Any information, data, text, messages and other materials that you email, post, upload, reproduce, transmit or otherwise distribute using Prismont’s website

This includes, without limitation, loss of profits, data, goodwill or any other intangible losses.

The use of the website, its content, products and services is at the user’s sole risk.

Because some jurisdictions do not allow the restriction, exclusion or limitation of liability for, in such jurisdictions liability is limited to the fullest extent permitted by law.

If you are dissatisfied with any portion of Prismont’s website or with any of these terms of use, your sole remedy is to discontinue using Prismont’s website.

Service Limitations

For certain services, Prismont limits its intervention to specific verifications (for example, emergency stop devices) and does not perform a full analysis of equipment.

The customer remains responsible for providing all required documentation, including electrical and technical plans.

No risk analysis will be conducted by Prismont Inc. as part of this mandate. It is the client’s responsibility to engage a specialized firm for this purpose.

Users and Third-Party Interactions

Prismont shall not be held responsible for interactions between users or with third parties, nor for any content shared or exchanged between them. Any interaction is undertaken at the sole responsibility of the parties involved.

We will not be held responsible for the behavior and actions of visitors to our Site. Any contacts you make with other visitors to our Site, as well as any information gathered from them, is your sole and complete responsibility.

We will not be held responsible for the content of messages from users posted on, or through, Discussion Groups or Public Forums on the Site.

Prismont is not responsible for the conduct or actions of users, nor for any information obtained from other users or third parties.

These provisions must be read in conjunction with all other legal documents and applicable terms governing the use of the site and services.

This limitation of liability shall survive the termination of this agreement.

General Clauses

These general clauses complement the other sections of these Terms and Conditions and govern the contractual relationship between Prismont and its customers.

Termination and Access to the Site

Your ability to access and use the Prismont Site remains in effect until terminated in accordance with these Terms & Conditions.

You agree that Prismont, in its sole discretion, may terminate your account and your use of the Site and may remove and delete your User Content if Prismont believes that you have violated or acted inconsistently with these Terms & Conditions or for any other reason.

Prismont also may in its sole discretion and at any time discontinue providing the Prismont Site, or any part thereof, with or without notice.

You acknowledge and agree that any termination of your access to the website may occur without notice, and that Prismont may prevent any further access to the website. Prismont shall not be liable to you or to any third party for any termination or restriction of access to the website.

Prismont may periodically schedule system downtime for maintenance or other purposes. Unplanned outages may also occur. You agree that Prismont shall not be liable for:

  • the unavailability of the website
  • any loss of data, information or materials caused by such outages
  • delays, delivery errors or failure to deliver data, information or products resulting from such outages
  • any outages caused by third parties, including hosting providers, servers or internet service providers

Entire Agreement

These Terms and Conditions are intended by Prismont and the Customer to constitute a complete and exclusive statement of the agreement between the parties. Such agreement shall not be modified, amended or terminated except in writing subsequent to the date of this document drawn up by a person authorized by Prismont Inc.

All prior conversations with respect to this subject are superseded by this agreement. Prismont shall not be bound by any terms on Purchaser's purchase order or other forms or documents which attempt to impose terms inconsistent with Prismont's terms and conditions of sale set forth herein unless specifically consented to in writing by an authorized officer of Prismont Inc. Prismont expressly objects to any provisions contained in the Purchaser's forms which would be different from or added to the general terms and conditions herein.

Prismont expressly objects to any additional or conflicting terms proposed by the Customer. The validity of any purchase order is expressly conditional upon the Customer’s acceptance of these Terms, which shall be deemed accepted upon receipt or retention of the products.

Any comments, instructions or conditions added by the Customer during the ordering process (including message fields) shall not be binding upon Prismont unless expressly accepted in writing.

The parties acknowledge that these Terms do not constitute a contract of adhesion within the meaning of Article 1379 of the Civil Code of Québec, and that all provisions have been freely negotiated and cannot be considered abusive.

Precedence of Terms

The sale of the products described herein is subject to and governed solely by these Terms & Conditions and no terms or conditions or Purchaser’s purchase order, any agreement or any other understanding shall be binding on Prismont or apply in any manner to the sale of such products.

Prismont expressly rejects any additional or conflicting terms proposed by the Customer.

No modification of these Terms & Conditions shall be of any force or effect unless signed by an authorized officer of Prismont.

No specification, drawing, print or photograph prepared by Purchaser relative to Purchaser’s order shall be binding on Prismont for any purpose unless signed by an authorized officer of Prismont.

Modification of Terms

Prismont reserves the right to modify these Terms and Conditions at any time, without prior notice.

Any modification shall become effective upon publication on the website.

Your continued use of the website or services following such publication constitutes your acceptance of the modified Terms.

No specific modification to these Terms shall be valid unless confirmed in writing by an authorized representative of Prismont.

Indemnity

You agree to indemnify, defend and hold harmless Prismont, its officers, directors, employees, partners, suppliers and agents from and against any claims, demands, actions, damages or expenses, including reasonable legal fees, arising from:

Force Majeure

  • pandemics, epidemics or public health emergencies
  • wars, acts of terrorism or civil unrest
  • strikes, lockouts or labor disputes, including those affecting suppliers or carriers
  • shortages of raw materials, supply chain disruptions or supplier failures
  • transportation delays, port congestion or logistical disruptions
  • governmental restrictions, embargoes or decisions of public authorities
  • system failures, network interruptions, technological failures or website unavailability
  • any other circumstances beyond Prismont’s reasonable control

The party invoking force majeure shall notify the other party within a reasonable time and shall use reasonable efforts to mitigate the effects of such event.

During the force majeure event, the affected obligations shall be suspended without liability for the affected party. Performance deadlines shall be extended accordingly.

Where such events affect the obligations of the parties, such obligations may be adjusted or suspended as necessary for the duration of the event.

Intellectual Property

The content of the Prismont website is protected by applicable intellectual property laws. Its use is governed by these Terms and Conditions.

Copyright and Website Content

All content available on the Prismont website, including but not limited to texts, product descriptions, technical data, drawings, data, sounds, audio recordings, videos, graphics, photography, images, documents, data compilations and any other content (the “Content”), is the exclusive property of Prismont or its content providers and is protected by applicable intellectual property laws and international copyright conventions.
